JOB SUMMARY

 

Responsible for planning and directing the legal affairs of a division or business segment to achieve legal compliance while supporting business objectives. Manages and collaborates with external counsel on litigation, transactional, and regulatory matters impacting the division or business segment. Works collaboratively to build, scale, and optimize internal processes, and leads cross-functional teams to effective solutions.

 

Essential Duties and Responsibilities

 

  • Provides guidance on legal matters, and anticipates, mitigates, and advises regarding any potential legal problems across corporate groups, client engagements, and third party relationships.
  • Leads, and oversees the legal affairs of a division or business segment, and partners with company leadership to proactively mitigate risk while driving business objectives.
  • Supervises, mentors, trains, and manages the internal counsel and staff assigned to the Deputy General Counsel's division or business segment, including recruiting, hiring, onboarding, performance management, work allocation, and offboarding of such team members, and overseeing resourcing needs for that division or business segment.
  • Leads and contributes to legal advice and strategy to support complex corporate department and business leadership decisions.
  • Reviews, drafts, negotiates, and advises on a wide range of contracts including account purchase agreements, independent contractor agreements, vendor agreements, data privacy agreements, client agreements, collaborative agreements, and confidentiality agreements.
  • Supports merger and acquisition activity relating to the Deputy General Counsel's division or business segment, including in any due diligence, transition plans, and implementation of post-transaction team integration legal exposure and risk management, and provides legal support and advice.
  • Partners with multi-functional internal corporate teams to anticipate, identify, and manage compliance matters, legal exposure, risk management, and assists with developing company policies and procedures to achieve legal compliance, and provides legal support and advice.
  • Partners with external counsel and internal business teams to manage litigation and pre-litigation matters relating to the Deputy General Counsel's division or business segment, including responding to subpoenas and demand letters, coordinating settlement approvals, reviewing pleadings, assisting with discovery requests, contributing to matter/case strategy, and representing the company in administrative proceedings, arbitrations, and court hearings.
  • Advises management on regulatory changes or actions that may impact the business.
  • Manages the development, refinement, and revision of contract templates and other forms to optimize the Deputy General Counsel's designated division or business segment.
  • Manages the development and improvement of internal legal policies, procedures, processes, and initiatives to optimize the Deputy General Counsel's designated division or business segment.
  • Manages the strategic direction and operations of the Deputy General Counsel designated division or business segment, including by managing the division or business segment’s budget to ensure efficient spending.
  • Assists with the development of internal educational and training programs.
  • Performs all duties in accordance with all company policies and procedures, and all federal, state and local laws, wherein the Company operates.
  • Performs other duties as assigned.

 

 

QUALIFICATIONS

 

Juris Doctor degree from an accredited law school

Member in good standing of at least one State Bar or the District of Columbia Bar

Ten (10) or more years of minimum related work experience

Prior in-house experience required, Prior law firm experience preferred

Experience in privacy and data protection laws and regulations (including U.S. State and federal consumer protection and privacy laws, GDPR, and other privacy laws) and best practices is preferred

Experience with employee benefits and statutory and regulatory schemes impacting employee benefits, including ERISA, is preferred

Knowledge of legal contracts and business law

Excellent verbal and written communication skills

Skill in distilling complex legal issues into practical business advice while balancing appropriate risk levels

Skill in analyzing complex information and developing plans to address identified issues

Excellent planning, organizational, and prioritization skills

Demonstrated business acumen with ability to inspire trust and confidence with senior management

Ability to maintain a high level of personal integrity and professional ethics

Ability to be an empathetic leader and manager, and work cross-functionally in a complex organizational structure

Strong interpersonal skills and proven ability to establish good professional relationships and credibility with internal clients, company management, and legal colleagues to build consensus

Ability to be hardworking and proactive in anticipating the needs of the business in a growth environment

Ability to prioritize and work through ambiguity, focus on business requirements, and achieve results

Strong contract drafting and negotiation skills

Proficient in Microsoft Office products
