Job Description
Position involves overseeing the lifecycle of legal contracts, including
drafting and reviewing of customer and vendor agreements. Position also involves
ensuring compliance with legal regulations and contractual obligations, as well as
maintaining records related to these activities. Applicant will use paralegal skills to
support the legal and business teams in contract administration activities. Work will be
performed under the supervision of a licensed attorney.
Key responsibilities may include
Contract drafting and review:
Preparing initial drafts of contracts, reviewing proposed contracts from vendors and clients, identifying potential legal issues, and suggesting revisions to ensure alignment with company policies and legal requirements.
Contract negotiation:
Assisting with contract negotiations by providing legal research, summarizing key terms, and highlighting areas for potential compromise.
Compliance checks:
Ensuring that contracts adhere to relevant laws, regulations, and internal company policies.
Contract management system upkeep
Utilize company’s contract lifecycle management (CLM) system for creating, analyzing, organizing and tracking contracts, Legal research: Conducting legal research on specific contract clauses or issues as needed to support contract negotiations.
Communication with stakeholders
Communicating with internal departments and external parties regarding contract terms and execution.
Contract execution:
Preparing and distributing final contracts for signature, tracking the execution process, and notifying relevant parties upon completion.
Contract termination:
Assisting with the legal process of terminating contracts when necessary, including notifying parties and documenting termination details.
Required skills and qualifications
Experience: Minimum of 3 years of contract administration experience.
Paralegal certification: Completion of a recognized paralegal program and relevant
certification.
Strong legal knowledge
Thorough understanding of contract law, including key legal terms and concepts.
Excellent writing and communication skills
- Ability to draft clear, concise, and legally sound contracts and effectively communicate with internal and external stakeholders.
- Attention to detail: High level of accuracy in reviewing contracts and ensuring all
necessary details are included. - Organizational skills: Efficiently managing a large volume of contracts and maintaining
a well-organized system. - Proficiency with technology: Familiarity with legal software (preferably CLM systems)
and other electronic document management systems.
